Ulu Commerce is currently in active development and testing. Features, pricing, and availability may change without prior notice. By using our services during this period, you acknowledge and accept the conditions outlined below.
1. Agreement to Terms
By accessing or using the Ulu Commerce website and services, you agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, you must not use our website or services.
2. Description of Service
Ulu Commerce provides professional e-commerce website development services. Our team of developers and designers build custom online stores on behalf of our clients. We are not a self-service website builder — all design and development work is carried out by our team.
3. Development & Testing Status
Ulu Commerce is currently in a development and testing phase. By using our services, you acknowledge and agree that:
- The platform, its features, and associated services are under active development and may not function as expected at all times.
- Services may be interrupted, modified, or discontinued at any time without prior notice during this phase.
- Features described on this website represent our planned or current capabilities and may be subject to change.
- We may update, alter, or remove functionality as we continue to develop and refine the product.
- Pricing, plans, and service offerings are not finalised and may change before or after official launch.
- While we take reasonable steps to protect your data, early-stage software may contain bugs or vulnerabilities that could affect availability or data integrity.
4. No Warranty
Our services are provided on an “as is” and “as available” basis during the development period. We make no warranties, expressed or implied, regarding:
- The reliability, accuracy, or completeness of the service
- Uninterrupted or error-free operation
- Fitness for a particular purpose
- Compatibility with third-party services
5. Limitation of Liability
To the fullest extent permitted by law, Ulu Commerce and its team shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, revenue, data, or business opportunities
- Service interruptions or downtime
- Errors, bugs, or security vulnerabilities
- Any issues arising from third-party integrations (e.g., Stripe)
Our total liability to you for any claim arising from these terms or your use of the service shall not exceed the amount you have paid us in the 12 months preceding the claim.
6. Intellectual Property
All content, designs, code, and materials produced by Ulu Commerce remain our intellectual property until full payment has been received for the agreed project scope. Upon full payment:
- You receive a licence to use the delivered website and its assets for your business purposes.
- We retain the right to showcase the work in our portfolio unless otherwise agreed in writing.
- Underlying frameworks, libraries, and reusable components remain our property.
7. Client Responsibilities
As a client, you agree to:
- Provide accurate and timely information needed for your project
- Review and provide feedback within reasonable timeframes
- Ensure any content you provide (images, text, logos) does not infringe third-party rights
- Not misuse, reverse-engineer, or redistribute our services or code without permission
8. Payments & Stripe
Payment processing is handled by Stripe. By making a payment, you also agree to Stripe's Terms of Service. We are not responsible for any issues arising from Stripe's platform.
Refund policies, if applicable, will be communicated on a per-project basis and may vary during the development phase of Ulu Commerce.
9. Privacy
Your use of our services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data.
10. Termination
We reserve the right to suspend or terminate your access to our services at any time, with or without cause, particularly during the development phase. You may also discontinue use of our services at any time by contacting us.
11. Governing Law
These Terms & Conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
12. Changes to These Terms
We may revise these Terms & Conditions at any time. Changes will be effective immediately upon posting to this page. The “Last updated” date at the top will reflect the most recent revision. Continued use of our services after changes constitutes acceptance of the updated terms.
